1. WHO WE ARE / PURPOSE OF THE SITE
These Terms of Service (“Terms”) govern your access to and use of the Healing Biologix website located at https://healingbiologix.com (the “Site”) and any related portals, features, content, products, and services offered by Healing Biologix Inc (“Healing Biologix,” “HB,” “we,” “us,” or “our”) (collectively, the “Services”).
By accessing or using the Site or Services, you agree to these Terms. If you do not agree, do not use the Site or Services.
Healing Biologix provides technology-enabled services that may support healthcare operations and wound care workflows, including administrative coordination, patient and client onboarding, scheduling, payments, and portal access.
Healing Biologix is not an emergency service provider. If you have a medical emergency, call 911.
2. NO MEDICAL ADVICE
The Site and Services may include information related to healthcare and wound care. However, nothing on the Site constitutes medical advice, and nothing on the Site creates a provider-patient relationship unless expressly established through a separate written agreement and authorized clinical process.
Always seek the advice of a licensed healthcare provider for medical questions.
3. ELIGIBILITY
You must be at least 18 years old to use the Services. By using the Services, you represent you have the legal authority to enter into this agreement.
If you use the Services on behalf of an organization, you represent you have authority to bind that organization.
4. ACCOUNTS AND PORTAL ACCESS
Some portions of the Services require an account (the “Account”). You agree to provide accurate Account information, maintain the confidentiality of your login credentials, and notify us immediately of any unauthorized access or use.
You are responsible for all activity under your Account.
We may suspend, restrict, or terminate Accounts for security reasons, suspected fraud, or violations of these Terms.
5. ACCEPTABLE USE
You agree not to use the Services for unlawful purposes; attempt unauthorized access to systems or data; interfere with the Site or Services (including hacking, scraping, or denial-of-service attacks); upload viruses, malware, or harmful code; or reverse engineer the Services or attempt to extract source code except where allowed by law.
6. PAYMENTS, BILLING, AND REFUNDS
Certain Services may require payment. By submitting payment information, you authorize us (and our payment processors) to charge the applicable fees and taxes.
Payment Processing: Payments may be processed through third-party payment providers. Healing Biologix does not store full payment card details on its own servers unless explicitly stated otherwise.
Refunds: All fees are non-refundable unless otherwise required by law or expressly stated in writing by Healing Biologix.
We reserve the right to correct billing errors even if payment has already been requested or received.
7. USER SUBMISSIONS
If you submit information through the Site (including forms, uploads, or messages), you represent that the information is accurate to the best of your knowledge and that you have the legal right to provide it.
You grant Healing Biologix a limited license to use submissions as needed to provide the Services, operate the Site, and comply with applicable laws.
8. THIRD-PARTY SERVICES AND LINKS
The Services may reference or link to third-party services or websites. Healing Biologix does not control and is not responsible for third-party content, availability, or practices.
Your use of third-party services is at your own risk.
9. INTELLECTUAL PROPERTY
All Site content and materials are owned by Healing Biologix Inc or its licensors, including trademarks, logos, designs, software, and written content.
You may not use, reproduce, modify, distribute, or exploit any content without prior written permission, except for normal use of the Services.
10. DISCLAIMERS
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALING BIOLOGIX DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
We do not guarantee uninterrupted access, error-free operation, or that the Site will be secure at all times.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALING BIOLOGIX INC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALING BIOLOGIX’S TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID TO HEALING BIOLOGIX FOR THE SERVICES IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100, WHICHEVER IS GREATER.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Healing Biologix Inc and its directors, officers, employees, contractors, and agents from any claims, damages, liabilities, losses, and expenses (including attorneys’ fees) arising from your misuse of the Services; your violation of these Terms; or your violation of any law or third-party rights.
13. TERMINATION
We may suspend or terminate your access to the Services at any time if we believe you violated these Terms, created a security risk, or engaged in fraudulent or abusive behavior.
Provisions intended to survive termination (including payment obligations, disclaimers, limitation of liability, and governing law) will survive.
14. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the State of Florida, without regard to conflicts of law rules.
You agree that any legal action arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Florida, and you consent to their jurisdiction.
15. CHANGES TO THESE TERMS
We may update these Terms from time to time. Updates will be posted on the Site with a revised “Last Updated” date.
Your continued use of the Site or Services after changes become effective constitutes acceptance of the updated Terms.
